REFERRAL PROGRAM TERMS

These Referral Program Terms (“Referral Terms”) govern your participation in the Guarda Referral Program (“Referral Program”).

These Referral Terms supplement the Terms of Use. By participating in the Referral Program, you agree to be bound by these Referral Terms, the Terms of Use and any other applicable policies published by Guarda.

If these Referral Terms conflict with the Terms of Use with respect to the Referral Program, these Referral Terms shall prevail.

1. DEFINITIONS

   Unless otherwise defined in the Terms of Use, the following terms have the meanings set out below:

   • “Guarda” (“we”, “us”, or “our”) means the operator of the Guarda website, applications, Services and the Referral Program.
   • “Eligible User” means a User invited by Guarda to participate in the Referral Program.
   • “Referral” means a person who accesses Guarda Services through a Referral Link and satisfies the eligibility requirements established by Guarda.
   • “Referral Link” means a unique referral link or other referral identifier assigned by Guarda.
   • “Eligible Transaction” means a transaction that qualifies for reward accrual under the Referral Program.
   • “Reward” means a referral reward accrued under the Referral Program.
   • “Pending Reward” means a Reward that has been accrued or displayed in your account but has not yet been approved for payout by Guarda.
2. ELIGIBILITY AND PARTICIPATION

   Participation in the Referral Program is available only to Eligible Users invited by Guarda. Guarda may, at its sole discretion, issue, refuse to issue, suspend or revoke any Referral Link or access to the Referral Program.

   Participation in the Referral Program is personal and may not be transferred or assigned. By participating in the Referral Program, you confirm that you:

   • are eligible to participate in the Referral Program;
   • comply with the Terms of Use and applicable laws;
   • agree to these Referral Terms.

   Guarda may verify your continued eligibility at any time. Failure to satisfy the applicable requirements may result in suspension or termination of your participation.

3. HOW THE REFERRAL PROGRAM WORKS

   The Referral Program allows Eligible Users to invite users to Guarda Services using a Referral Link provided by Guarda.

   You may accrue a Reward only if:

   • your Referral satisfies the applicable eligibility requirements;
   • your Referral completes one or more Eligible Transactions; and
   • all applicable fraud prevention, compliance and security checks have been successfully completed.

   Guarda has sole discretion in determining whether any User, Referral or transaction qualifies under the Referral Program.

   Participation in the Referral Program does not guarantee that any Reward will accrue or become payable.

4. REWARDS

   Unless otherwise specified by Guarda, you may accrue a Reward equal to 20% of Guarda’s profit generated from Eligible Transactions completed by your Referrals.

   Guarda may modify the Reward percentage, determine which transactions qualify as Eligible Transactions, introduce different Reward structures or discontinue Rewards at any time.

   Reward calculations are performed solely by Guarda based on its internal records and methodologies and shall be final except in the event of a manifest error.

   Any Reward displayed in your account before payout constitutes a Pending Reward only.

   A Pending Reward does not create any vested right or entitlement to payment and becomes payable only after approval by Guarda in accordance with these Referral Terms.

5. REWARD PAYOUTS

   Unless otherwise specified by Guarda:

   • the minimum payout amount is USD 50;
   • payouts may be requested no more than once every 30 days;
   • payouts are processed only upon your request through the designated interface;
   • you are responsible for providing a valid wallet address for receiving payouts.

   Before processing a payout, Guarda may conduct fraud prevention, compliance, security or other verification procedures and may delay, suspend or reject a payout request until such review has been completed.

   Guarda is not responsible for failed or delayed payouts resulting from incorrect wallet information provided by you or circumstances beyond Guarda’s reasonable control.

6. TAXES

   You are solely responsible for determining, reporting and paying any taxes or other governmental charges arising from your participation in the Referral Program or receipt of any Reward.

   Guarda does not provide tax advice and assumes no responsibility for any tax consequences arising from participation in the Referral Program.

7. PROHIBITED ACTIVITIES

   You must not misuse the Referral Program or attempt to obtain Rewards through fraudulent, abusive or deceptive practices.

   Prohibited activities include, without limitation:

   • creating or using multiple accounts to obtain Rewards;
   • referring yourself, directly or indirectly;
   • creating fake, fraudulent or fictitious Referrals;
   • manipulating transactions or referral activity to generate Rewards;
   • using stolen identities or payment methods;
   • providing false or misleading information;
   • interfering with the operation of the Referral Program;
   • attempting to circumvent the eligibility criteria or payout requirements;
   • violating applicable law, the Terms of Use or these Referral Terms.

   The above list is non-exhaustive. Guarda may determine whether particular conduct constitutes fraud, abuse or misuse of the Referral Program.

8. SUSPENSION, CANCELLATION AND RECOVERY

   Guarda may investigate any activity related to the Referral Program.

   If Guarda determines that these Referral Terms, the Terms of Use or applicable law have been violated, or that fraudulent, abusive or suspicious activity has occurred, Guarda may, without prior notice:

   • suspend or terminate your participation in the Referral Program;
   • suspend, reduce, cancel or withhold any Reward or Pending Reward;
   • reject any payout request;
   • invalidate any Referral or Eligible Transaction;
   • revoke any Referral Link.

   If a Reward has been granted or paid in error or in violation of these Referral Terms, Guarda may cancel such Reward or recover its value to the extent permitted by applicable law.

9. CHANGES TO THE REFERRAL PROGRAM

   Guarda may modify, suspend or discontinue the Referral Program, including its eligibility requirements, Reward calculation, Reward percentages, payout conditions, participating Users, jurisdictions or campaigns.

   Guarda may also amend these Referral Terms from time to time by publishing an updated version on its website. Unless otherwise specified, such changes become effective upon publication on the website. Your continued participation in the Referral Program after any modification constitutes your acceptance of the updated Referral Terms.

10. LIMITATION OF LIABILITY

    The Referral Program is provided on an “as available” and “as is” basis.

    To the fullest extent permitted by applicable law, Guarda makes no representation regarding the continued availability of the Referral Program or any Reward and shall not be liable for any indirect, incidental, consequential, special or punitive damages arising out of or relating to your participation in the Referral Program.

    Nothing in these Referral Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

11. MISCELLANEOUS

    These Referral Terms form an integral part of the Terms of Use.

    If any provision of these Referral Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

    No failure or delay by Guarda in exercising any right under these Referral Terms shall constitute a waiver of that right.

    Participation in the Referral Program does not create any partnership, employment, agency, fiduciary or other similar relationship between you and Guarda.
